INVITATION FOR BID (IFB)
FOR TRANSACTION ADVISOR FOR REGISTRATION WITH THE ETHIOPIAN CAPITAL MARKET AUTHORITY (ECMA)
(Ref No.: RFP/TA/03/2025/26)

Lion Insurance Company S.C. invites all interested and eligible local firms, licensed as investment banks or investment advisors in Ethiopia, to submit bids to act as Transaction Advisor for the Company’s registration with the Ethiopian Capital Market Authority (ECMA). The advisor will provide technical, financial, and regulatory guidance, prepare required documentation, and facilitate a smooth registration process in compliance with relevant regulations.

The assignment is expected to be completed within 45 calendar days from contract signing.

1. Bid Document

The full RFP document can be obtained from the Company at the address below upon payment of a non-refundable fee of ETB 1000 before VAT during working hours:

2. Eligibility Requirements

Bidders should provide:

• Company license from ECMA and registration documents
• TIN and VAT registration certificates
• Professional indemnity insurance certificate
• Conflict of Interest Declaration

3. Bid Security

 The bid must be accompanied by a Bid Security of ETB 50,000 in the form of:

• CPO or
• Bank guarantee
• Valid for at least 30 days beyond bid validity
• Proposals without valid bid security will be rejected

4. Submission Deadline and Opening

• The bid remains valid until September 27, 2025, 5;00 pm.
• Sealed bids, clearly marked “Proposal for Transaction Advisor for ECMA Registration – Lion Insurance Company S.C.’”, including original and copy of Technical and Financial Proposals in separate, wax-sealed envelopes, must be delivered to the address below by the submission deadline.
• Technical Proposals will be opened on September 29, 2025 at 10:00 am in the presence of bidders or their representatives.
• Financial Proposals of only technically qualified bidders will be opened later, and the date will be communicated.
• Late submissions will not be accepted.
• Bidders should plan their methodology and timeline based on the expected 45-day completion period.

5. Right to Accept or Reject

Lion Insurance Company S.C. reserves the right to accept or reject any or all bids, in whole or in part, without assigning reasons. The Company also reserves the right to negotiate terms, fees, and deliverables with the selected bidder.
